- Client Responsibilities
Clients are responsible for providing QIS with accurate and timely information required to perform the agreed services.
Depending on the project, client responsibilities may include:
- Providing required documentation
- Providing system and facility access
- Making relevant personnel available
- Providing accurate technical information
- Reviewing and approving deliverables within agreed timelines
- Providing required infrastructure and environments
- Ensuring availability of subject matter experts
- Providing timely feedback and decisions
Delays resulting from client dependencies may affect project schedules and delivery dates.
6. Validation and Regulatory Services
QIS provides professional consulting and validation services based on the agreed scope and applicable industry practices.
Our services may reference applicable standards, regulations, and guidance such as:

- EU GMP requirements
- GAMP guidance

Regulatory expectations may change over time. Unless expressly agreed otherwise, QIS does not guarantee that a client’s facility, process, software, equipment, or system will receive regulatory approval or acceptance solely as a result of QIS services.

Client review and approval timelines will be governed by the applicable project agreement.
8. Intellectual Property
Unless otherwise agreed in writing, QIS retains ownership of its pre-existing intellectual property, methodologies, templates, frameworks, know-how, tools, processes, software components, and proprietary materials.
Client-specific deliverables will be governed by the intellectual property provisions of the applicable agreement.
Nothing in these Terms automatically transfers ownership of QIS proprietary methodologies, templates, tools, software, or know-how.
- Confidentiality
Each party shall protect confidential information received from the other party and shall use such information only for the purposes of the applicable business relationship.
Confidentiality obligations may be further defined through a separate Non-Disclosure Agreement (NDA), Master Service Agreement, Purchase Order, or Statement of Work.
- Software and Digital Solutions
Where QIS provides software, applications, platforms, or digital solutions, additional terms may apply, including:
- Software licensing terms
- Subscription terms
- Acceptable-use requirements
- User access controls
- Support and maintenance terms
- Service-level commitments
- Data protection requirements
- Backup and disaster recovery provisions
Where specific software terms conflict with these general Terms, the specific software agreement will prevail to the extent of the conflict.
- Payments
Fees, payment milestones, taxes, expenses, and payment terms will be specified in the applicable quotation, purchase order, invoice, or agreement.
Unless otherwise agreed, delayed payments may result in suspension or delay of services after appropriate notice.
- Cancellation and Termination
Either party may terminate a service engagement in accordance with the termination provisions of the applicable agreement.
Upon termination:
- Fees for completed work remain payable.
- Approved expenses remain payable.
- Client-owned information will be handled according to contractual requirements.
- Confidentiality obligations will continue as applicable.
- Any outstanding contractual obligations will remain enforceable.
- Third-Party Services
QIS may use third-party tools, infrastructure, hosting providers, software, or services where required to provide certain services.
QIS will not be responsible for failures caused solely by third-party services outside QIS’s reasonable control, subject to applicable contractual obligations.
